End User License Agreement

Version 1.0 · Effective: 2026-03-14 · U2DIA Inc. (749-58-00902)

Article 1 — Definitions (정의) ▼

"Software" means the U2DIA AI product and all associated components including binaries, libraries, documentation, database schemas, ontology knowledge bases, embedding models, and API endpoints.

"Licensee" means the individual or legal entity that agrees to this Agreement and uses the Software.

"Licensor" means U2DIA Inc., a corporation organized under the laws of the Republic of Korea.

"Core Engine" means the proprietary core components including the RAG pipeline, ontology inference engine, cross-platform adapter protocols, vector embedding pipeline, and scoring algorithms.

"PMI Data" means Product Manufacturing Information including GD&T, tolerances, surface finish, datums, annotations, and related manufacturing data.

Article 2 — Grant of License (라이선스 부여) ▼

Licensor grants to Licensee a non-exclusive, non-transferable, non-sublicensable, revocable license to use the Software subject to the terms of this Agreement.

License Tiers:

  • Free: Max 5 PMI analyses/day. Single CAM platform. Non-commercial only. No API access.
  • Pro (₩490K/mo or ₩4.9M/yr): Unlimited analyses. 13 CAM platforms. REST API (60 req/min). SaaS.
  • Enterprise (₩20M+/yr): All Pro features + on-premise + custom adapters + 4hr SLA + audit logs.

Subscriptions auto-renew unless cancelled 30 days before renewal date.

Article 2-1 — EU Consumer Withdrawal Rights ▼

EU/EEA consumers may withdraw within 14 days without reason (Directive 2011/83/EU). Once digital content delivery begins with express consent, withdrawal rights expire under Article 16(m).

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

Article 3 — Restrictions (사용 제한) ▼
  • No Reverse Engineering: Do not decompile, disassemble, or derive source code (except as permitted by Korean Copyright Act Art. 101-4).
  • No Decompilation: Use of ILSpy, dnSpy, dotPeek, Ghidra, IDA Pro, or similar tools is prohibited.
  • No Core Engine Redistribution: Do not distribute, sublicense, lease, rent, or sell the Core Engine.
  • Non-Competition: Do not use knowledge from the Software to develop competing products.
  • No Circumvention: Do not bypass license verification or usage limits.
  • Benchmark Restriction: Written consent required before publishing benchmarks.
Article 4 — Data Processing (데이터 처리) ▼

Local Processing Principle: PMI data is processed locally by default. No external transmission without explicit consent.

AI Inference (SaaS): Only query text is transmitted (never CAD/CAM files). Data not used for training. Deleted within 30 days. Enterprise tier processes everything on-premise.

Telemetry: Anonymized usage stats may be collected. Enterprise tier can disable. Pro tier cannot disable license verification telemetry.

Complies with Korean PIPA (Act No. 19234), EU GDPR, Japan APPI.

Article 5 — Intellectual Property (지적재산권) ▼

All IP rights remain with Licensor. Patents pending (KIPO): AI-based CAM path prediction, Triple Hybrid RAG anti-hallucination, Z-Height dual optimization, 3-tier ontology learning.

Trade secrets protected under Korea's Unfair Competition Prevention Act (Act No. 19589).

Licensee owns analysis results and converted PMI data, but underlying algorithms remain Licensor's property.

Articles 6-7 — Warranties & Liability (보증 및 책임) ▼

"AS IS" / "AS AVAILABLE". No warranty of merchantability, fitness, or non-infringement.

No guarantee of CAM/CAD compatibility across all versions.

AI results are reference only — verify before manufacturing.

Liability cap: Total fees paid in the preceding 12 months.

Manufacturing disclaimer: Licensor is not responsible for equipment damage, part defects, or injury from applying Software outputs to CNC equipment.

Articles 8-12 — Termination, Export, General (해지, 수출, 일반) ▼

Termination: Licensee: 30 days written notice. Licensor: immediate for Art. 3 violations, 30 days to cure for others.

Export: Subject to Korea Foreign Trade Act, US EAR, Wassenaar. No exports to sanctioned nations.

Governing Law: Republic of Korea. Seoul Central District Court (domestic). California law (US users, class action waiver). EU: consumer's country of residence. Japan: Tokyo District Court.

Arbitration: KCAB International Rules, Seoul, English + Korean.

Open Source: Third-party components per NOTICE and THIRD_PARTY_LICENSES files. OSS license terms prevail where conflicting.

Article 14 — Revenue-Based Licensing (매출 기준) ▼

Free tier: Annual revenue < ₩100M, non-commercial, students/educators only.

Paid license required: Revenue ≥ ₩100M, or any commercial use.

Enterprise required: Revenue ≥ ₩1B (consolidated basis).

Self-reporting: Unity-style model. False reporting = material breach = immediate termination + damages.

Audit right: 14 days notice. Independent accountant. Underpayment = Licensee bears audit costs.

BY INSTALLING, COPYING, DOWNLOADING, OR USING THE SOFTWARE, LICENSEE ACKNOWLEDGES THAT IT HAS READ, UNDERSTOOD, AND AGREES TO BE BOUND BY ALL TERMS AND CONDITIONS OF THIS AGREEMENT.

1. Information Collected

We collect only the minimum personal information necessary for service provision.

  • Required: Email, name, company name
  • Optional: Phone number, job title
  • Auto-collected: IP address, browser info, access logs

2. Purpose

  • Anonymized statistics for service improvement
  • Legal obligations compliance

3. Retention Period

Personal information is destroyed after its purpose is fulfilled, except where retention is required by law (contracts: 5yr, payments: 5yr, complaints: 3yr, logs: 3mo).

4. Third-Party Disclosure

We do not disclose personal information to third parties without consent, except for legal requirements or lawful investigation requests.

5. PMI Data Processing

CAD/CAM design data (PMI Data) is managed separately from personal information. Processed locally by default. SaaS: only query text transmitted. Not used for AI training. Enterprise: all data on-premise.

6. Data Subject Rights

Users may request: access, correction, deletion, processing suspension, and consent withdrawal. EU/EEA residents have additional GDPR rights (portability, supervisory authority complaints).

Get up and running in under 5 minutes.

Download the Installer

Click "Download for Windows" above to download U2DIA.Installer.exe from GitHub Releases.

Run as Administrator

Right-click the downloaded file and select "Run as administrator". Follow the on-screen setup wizard to complete installation.

Installation Complete

U2DIA AI is now installed. Launch it from the Start Menu or the desktop shortcut. Activate your license key to unlock full functionality.
